ACCEPTANCE OF TERMS THROUGH USE
By using this site, you certify that you are a customer or are employed and using this site on behalf of a customer of Sheepdog Solutions, Inc. (collectively referred to as “Customers”) and an authorized user of this site, and signify your agreement to all terms, conditions, and notices contained or referenced herein (the "Terms of Use"). If you do not agree to these Terms of Use, DO NOT USE THIS SITE.  Sheepdog Solutions, Inc. (“Sheepdog”) reserves the right, at our discretion, to update or revise these Terms of Use. Please check the Terms periodically for changes. Your continued use of this site following the posting of any changes to the Terms of Use constitutes acceptance of those changes.

PROPRIETARY RIGHTS
You acknowledge and agree that all content and materials available on this site and all software and related users’ guides and documentation provided by Sheepdog (collectively, “the Sheepdog Property”), and all copies of it are protected by copyrights, trademarks, service marks, patents, trade secrets, or other proprietary rights and laws.

You may use Sheepdog Property only in the ordinary course of its business at the location and only on equipment that meets all the technical specifications issued by Sheepdog from time to time. You shall ensure that all copies of all or any part of the Sheepdog Property include all Sheepdogs’ copyright and other proprietary rights notices. You shall not modify any part of the Sheepdog Property. You may not reverse engineer, decompile, copy, duplicate or translate into any language the Sheepdog Property. Except as expressly authorized by Sheepdog, you agree not to grant unauthorized access, sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit, create derivative works from Sheepdog Property, nor in any way make available or provide copies of the whole or any parts of the Sheepdog Property to any third party or unauthorized individual. You shall notify Sheepdog promptly upon any unauthorized disclosure, use or copying of the Sheepdog Property of which you becomes aware. Upon the cancellation of this site or the termination of this Agreement, you shall return the Sheepdog Property and all copies of it to Sheepdog, or at the request of Sheepdog, destroy’, and certify in writing the destruction of all of the Sheepdog Property and all copies of it.

NO SYSTEMATIC ACCESS OR RETRIEVAL OF DATA
Systematic retrieval of data or other content from this site to create or compile, directly or indirectly, a collection, compilation, database or directory without written permission from Sheepdog is prohibited. In addition, use of the content or materials for any purpose not expressly permitted in these Terms of Use is prohibited.

USER'S GRANT OF LIMITED LICENSE
1.	You shall not permit anyone other Customers to use this site, and agree that the site will be used only in accordance with the operating instructions and procedures established by Sheepdog and provided from time to time by Sheepdog to Customers.  You will take reasonable care to ensure that only authorized employees gain and maintain access to this site, including but not limited to a)requiring all users to utilize unique user authentication codes (i.e., user ID and passwords) when accessing the system, b)immediately eliminating the user authentication of employees who are terminated or are no longer identified by Customers as an authorized user, and c)performing an audit, no less than each calendar quarter, of active user authentication codes assigned to their account to ensure the removal of all terminated or non-authorized employees is being performed in a timely manner.
2.	Data (except for data in the form supplied by the Customers), and data compilations (using Sheepdog or Customers data) supplied as part of the service provided by this site (collectively “this site’s Data”), and all database, copyright and other intellectual property- rights in this site’s Data shall remain the property of Sheepdog or its Customers, and no disclosure, re-use, extraction, re-transmission or storage of any of this site’s Data shall be made except as expressly permitted in writing by Sheepdog. You shall not gain or be entitled to assert any rights over this site’s Data by virtue of the use or transmission of this site’s Data on or through this site. You shall ensure that this site’s Data shall be kept confidential.
3.	Data cross references supplied by Sheepdog or its Customers shall only be used within this site and shall not he used for any other purpose.

INDEMNIFICATION
Upon a request by Sheepdog, you agree to defend, indemnify, and hold harmless Sheepdog and its subsidiary and other affiliated companies, and their employees, contractors, officers, and directors from all liabilities, claims, and expenses, including attorney's fees that arise from your use or Sheepdog’s use of this site. Sheepdog reserves the right, at it own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Sheepdog in asserting any available defenses.

CHOICE OF LAW AND FORUM
These Terms of Use shall be governed by and construed in accordance with the laws of the State of Illinois, excluding its conflicts of law rules. You expressly agree that the exclusive jurisdiction for any claim or action arising out of or relating to these Terms of Use or your use of this site shall be filed only in the state or federal courts located in the State of Illinois, and you further agree and submit to the exercise of personal jurisdiction of such courts for the purpose of litigating any such claim or action.

SEVERABILITY AND INTEGRATION
Unless otherwise specified herein, this agreement constitutes the entire agreement between you and Sheepdog with respect to this site and supersedes all prior or contemporaneous communications and proposals (whether oral, written, or electronic) between you and Sheepdog with respect to this site. If any part of these Terms of Use is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect.

TERMINATION
Sheepdog reserves the right, in its sole discretion, to terminate your access to all or part of this site, with or without notice.
